• Dataedo means Dataedo sp. z o.o., operating under the address: ul. Waly Piastowskie 1/1104, 80-855 Gdansk, Poland, registered in the District Court Gdansk-Polnoc, 7th Commercial Department of National Court Register under No: 0000491619,
• Customer means individual or entity who is the main user of the Programs.

• Edition means a scope of functionality of Products. There are following editions of Programs: Pro, Pro+, Data Catalog (formerly Enterprise).
• User type means one of the user tiers within a specific edition.
• License means the right to use Products according to this document.
• Subscription means an agreement between Dataedo and Customer under which Dataedo grants Customer the right to use specific Products in specific editions by specific numbers of Named Users of each User Type for a specified period (usually 365 days).
• Export means any of the following: Dataedo HTML Basic, Dataedo HTML Plus, Dataedo PDF, Dataedo Excel.
• Named User means an individual person assigned by Customer to use Products as a specific Type of User as part of the paid Subscription.
• Free User means users that can access certain Products free of charge.
• Products mean all software executables downloaded from Dataedo website or documents generated with those executables.
• University is a university, college, high school, primary school, or a similar organization whose main purpose is education.
• Student is an individual who is enrolled in University.
• Teacher is an individual who conducts lessons, courses, lectures to Students at Universities.

• Dataedo Desktop – Windows desktop application (64 and 32 bit) that is the main user interface for documentation creators.
• Dataedo Desktop Administration Console – Windows desktop application that enables management of users for administrators.
• Dataedo Web Catalog – a self-hosted web application that provides web access for documentation creators and users.
• Dataedo Repository – a self-hosted central database where all metadata collected and created by Dataedo is stored. A Repository may take one of the following forms:
  • File – own Dataedo file format,
  • Server – dedicated self-hosted Microsoft SQL Server database,
  • Azure – dedicated self-hosted Microsoft Azure SQL database.
• Dataedo HTML – interactive HTML documents generated by Dataedo Desktop that provide users with offline access to the documentation. Dataedo HTML has two versions:
  • Dataedo HTML Basic – includes data dictionary, modules/subject areas, ER diagrams, and search function.
  • Dataedo HTML Plus (formerly Enterprise Export) – includes the functionality of HTML Basic plus Business Glossary.
• Dataedo PDF – PDF document generated by Dataedo Desktop that provides users with offline access to the documentation.
• Dataedo Excel – Microsoft Excel document generated by Dataedo Desktop that provides users with offline access to the documentation.

Dataedo is sold in different packages of software components and functionalities called editions. There are the following editions:

Pro Edition

• Software components:
  • Dataedo Desktop,
  • Dataedo Desktop Administration Console,
  • Dataedo Repository – File, Server, Azure,
  • Dataedo HTML, Dataedo PDF, Dataedo Excel.
• Functionalities:
  • All available metadata connectors,
  • Data Dictionary,
  • Table Relationships,
  • ER Diagrams,
  • Modules/Subject Areas,
  • 5 Custom Fields.
• Support level: Standard Support.

Pro+ Edition

• Includes the same functionality as Pro but with 10 custom fields.

Data Catalog (formerly Enterprise)

• Software components:
  • Dataedo Desktop,
  • Dataedo Desktop Administration Console,
  • Dataedo Web Catalog,
  • Dataedo Repository – File, Server, Azure,
  • Dataedo HTML, Dataedo PDF, Dataedo Excel.
• Functionalities:
  • All available metadata connectors,
  • Data Dictionary,
  • Table Relationships,
  • ER Diagrams,
  • Modules/Subject Areas,
  • Business Glossary,
  • Schema Change Tracking,
  • Data Discovery and Classification,
  • 100 Custom Fields,
  • Data Community.
• Support level: Priority Support.

Dataedo defines the following types of end-users.

Dataedo Pro and Dataedo Pro+:

• Documentation Creators (Named Users):
  • Main users of the Products that are responsible for the creation and sharing of the documentation,
  • Have access to all components and functionalities of Dataedo Pro,
  • Documentation Creators are Named Users and require a valid subscription.
• Documentation Users (Free Users):
  • Consumers of the documentation created by the Creators,
  • Can access (read-only) documentation with Dataedo Web Catalog and Dataedo HTML Basic, Dataedo PDF and Dataedo Excel,
  • Documentation Users are Free Users that do not require any subscription and can access documentation free of charge.

Dataedo Data Catalog:

• Data Catalog Creators (formerly Enterprise users) (Named Users):
  • Main users of the Products that are responsible for the creation of the documentation,
  • Have access to all components and functionalities of Dataedo Data Catalog,
  • Data Catalog Creators are Named Users and require a valid subscription.
• Data Catalog Users (formerly Enterprise Viewers or Viewers) (Named Users):
  • Consumers of the documentation created by the Creators,
  • Can access (read-only) documentation with Dataedo Web Catalog and Dataedo HTML Basic and Plus,
  • Data Catalog Users are Named Users and require valid subscription.
• Documentation Users (Free Users):
  • Consumers of the documentation created by the Creators,
  • Can access (read-only) documentation with Dataedo HTML Basic, Dataedo PDF, and Dataedo Excel,
  • Documentation Users are Free Users that do not require any subscription and can access documentation free of charge.

• Customer purchases subscription of a specific edition of Products for a specified time (usually 365 days), for a specific number of users of each User Type.
• Dataedo grants Customer non-exclusive, non-transferable license to use subscribed Products by the Named Users.
• Customer may not exceed the number of Named Users of specific User Type from its subscription.
• Named User may be any physical person - employee, contractor, consultant, customer, or partner.
• Customer may reassign individuals to Named Users, but not more often than once in 30 days.
• Customer may use the Products in executable format for its own use and may not translate or modify the licensed Products or incorporate them into other software.
• Customer may not transfer or sublicense the licensed Products to any third party, in whole or in part, in any form, whether modified or unmodified.
• Following the expiration subscription Named Users lose the right to access Products.
• Dataedo grants Free Users access to Dataedo HTML Basic, Dataedo PDF, and Dataedo Excel free of charge and without time limitations.
• Customer has the right to upgrade edition and add more users at any point during the subscription on a pro-rated basis.

• With the issuing of a trial key, Dataedo grants Customer a non-transferable, nonexclusive right to use the Products for the sole purpose of evaluation of the product for a specified period.
• After the trial ends, any Export generated during the evaluation period must be deleted.
• Dataedo retains the right to terminate a Trial at any point in time without notice.

• Dataedo provides a special edition of its software to Students and Teachers free of charge for educational purposes.
• Educational Licenses do not apply for graduates, non-educational staff (e.g. technical staff) of educational organizations.
• To obtain a free one-year License Student or Teacher must have a personal email in the domain of the University and use it to apply for it on Dataedo website (https://dataedo.com/education-licenses).
• Dataedo reviews applications based on the University domain.
• Individuals can apply for another License when the existing expire.
• Dataedo reserves the right to reject any applications or terminate previously provided educational Licenses if it believes that they are not or will not be used according to the License.

All fees are exclusive of all taxes or duties imposed by governing authorities. You alone are responsible for payment of all such taxes or duties.

Customer may make copies of the Licensed Product in executable code form as necessary for use by Customer and backup or archive purposes.

• Customer during the period of the subscription is entitled to access to all released and supported versions of the products that are part of the purchased edition.
• All deliveries will be electronic through Dataedo website (https://dataedo.com).
• All updates must be installed by the Customer.

Customer must create, secure, and maintain the environment and components necessary to operate Products with their own resources.

Dataedo offers following support levels included in paid subscriptions:

Standard Support:

• Response time: 72 business hours,
• Forum (https://support.dataedo.com),
• Email (support@dataedo.com),
• Live chat (available on https://dataedo.com, and in particular on https://dataedo.com/chat),
• Onboarding Webinars,
• Individual onboarding consultation (30 minutes).

Priority Support:

Everything in Standard Support plus:

• Response time: 48 business hours.

Premium Support:

• Everything in Priority Support plus:
• Response time: 24 business hours,
• Dedicated Account Manager,
• Quarterly meetings,
• Individual onboarding – up to 180 minutes in up to 4 sessions

The original and any copies of the Licensed Products, made by Customer, including translations, compilations, partial copies, modifications, and updates, are the property of Dataedo.

• Dataedo collects some data from the usage of Products.
• Data is collected for the following purposes:
  • to be able to educate Customers by providing useful relevant information,
  • to improve our Products based on usage and feedback,
  • to provide Customers with high quality support,
  • to protect us from unlawful or fraudulent use of our Products,
  • to inform you about new versions of our Products, their new functionalities, and capabilities,
  • to have information and evidence of provision of services and protect ourselves in case of disputes.
• Dataedo collects the following data from the usage:
  • Events:
    • Installation (specific steps),
    • Product launching,
    • Sign up and license check,
    • Connection to a metadata repository,
    • Use of one of the Product’s key functions,
    • Uninstallation of the product.
  • Data collected:
    • Date and time of the event,
    • Product, edition and its version,
    • Metadata repository type,
    • License key ID,
    • User ID/email,
    • public IP address.
• Dataedo does not collect:
  • Database schema details (table names, column names, code of stored procedures, etc.) from Customer’s databases and data sources.
  • Actual data from Customer’s databases and data sources.
• Customer can block this functionality using third party software that blocks outgoing network traffic (firewall).

Dataedo licenses and Customer accepts, the licensed Products "AS IS." Dataedo provides no warranties as to the function or use of the licensed Products, whether express, implied, or statutory, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose. The entire risk as to the quality and performance of the licensed program is with the Customer. Dataedo does not warrant that the functions contained in the licensed programs will meet Customer's requirements or that the operation of the licensed programs will be uninterrupted or error-free.

Dataedo liability to the Customer under any provisions of this agreement for damages finally awarded shall be limited to the amounts actually paid hereunder by Customer to Dataedo In no event shall Dataedo be liable for indirect, incidental, special or consequential damages, including loss of use, loss of profits or interruption of business, however, caused or on any theory of liability.

This Agreement shall be governed and interpreted by the laws of the Republic of Poland. The Republic of Poland shall be the appropriate venue and jurisdiction for the resolution of any disputes hereunder. Both parties hereby consent to such personal and exclusive jurisdiction.
